Terms of Service

1. Who we are and what the club is

These Terms of Service (“Terms”) govern your use of the EQAD Private Equestrian Club (“the club”), operated by EQAD Club GmbH. The club is a private members-only platform that connects vetted buyers, sellers, agents, and riders. EQAD does not buy, sell, broker, or warrant horses. All transactions are concluded bilaterally between members. The club charges a membership fee and never a success fee.

2. Eligibility and vetting

Membership is invitation- or application-based. You must be at least 18 years old, have legal capacity to contract, and provide accurate information including identity or entity verification documents on request. We may refuse, suspend, or terminate accounts at our sole discretion, including for suspected fraud, sanctions exposure, reputational risk, or breach of these Terms.

3. Membership plans and billing

Club membership: €50 per month, billed monthly (€600 per year at the current rate). Same seat for buyers, sellers, and agents.

Prices are quoted net and are subject to VAT where applicable. Payments are processed by Stripe under theirServices Agreement. By activating a plan you authorize the relevant recurring charge until you cancel.

4. Cancellation and refunds

You can cancel at any time from your dashboard or the Stripe customer portal. Access continues until the end of the paid period. Except where required by law (e.g. a statutory right of withdrawal where applicable), fees already paid are non-refundable.

5. Listings and content

Sellers keep ownership of the content they upload and grant EQAD a limited, non-exclusive license to host, transcode, watermark, and display that content to other members for the purpose of operating the club. Sellers are solely responsible for accuracy, legality, and any representations made to buyers. EQAD may remove content that breaches these Terms or applicable law.

6. No brokerage, no warranty

EQAD is a communications platform only. We do not inspect horses, verify ownership beyond documentary vetting, arrange vet checks, arrange transport, hold funds, or guarantee the outcome of any transaction. Each sale is a bilateral contract between the parties. Use of independent vetting, escrow, and legal counsel is strongly recommended, especially for transactions above €500k.

7. Acceptable use

You agree not to:

Circumvent the club to avoid membership obligations (e.g. attempting to solicit a sale off-platform during an unlocked inquiry).
Scrape, resell, or republish listing media or member data.
Record, download, or screen-capture videos or photos beyond what the platform provides.
Post misleading, illegal, or infringing content, including fraudulent listings or forged documents.
Harass, discriminate, or threaten other members.

Breach may lead to immediate suspension, loss of membership without refund, and liquidated damages where substantial harm is demonstrated.

8. Media protection and NDA

Listing media is streamed only, watermarked per member, and subject to short-lived signed URLs. Before unlocking a listing a buyer agrees to the club’s NDA. Violations are actively monitored.

9. Liability

To the maximum extent permitted by law, EQAD’s aggregate liability is limited to the amount of membership fees you paid in the 12 months preceding the event giving rise to the claim. EQAD excludes indirect, consequential, and lost-profit damages. Nothing limits liability for willful misconduct, gross negligence, personal injury, or any liability that cannot be excluded under mandatory law.

10. Privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.

11. Changes

We may update these Terms to reflect new features, law, or operational changes. We will notify members by email before material changes take effect. Continued use after the effective date constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by the laws of Germany, excluding its conflict-of-laws rules. The exclusive place of jurisdiction for disputes with merchants is the seat of EQAD. Consumers may also bring claims at their place of residence.
